Constitution

ARTICLE 1 - NAME

(a)       The name of the organization shall be Juventus Club “DOC” Toronto Roberto Bettega (The Association).

ARTICLE 2 - HEAD OFFICE

(a)       The Head Office of the Association shall be in the province of Ontario, in the City of Toronto, at 3363 Yonge Street, Toronto, Ontario, M4N 2M6.

ARTICLE 3 - OBJECTIVES

(a)       To develop a cultural, recreational sports organization open to the Association members in good standing. Each member must be morally associated to Juventus F.C. and accept all the rules and regulations deriving from the Constitutions of Juventus F.C.™ and the Association.

(b)       To help promote the Juventus team in Ontario, Canada, among youth from all walks of life.

(c)       To organize summer camps and training opportunities for youth in the Province of Ontario.

(d)       To organize meets of an athletic nature.

ARTICLE 4 - MEMBERSHIP

(a)       Any resident of the Province of Ontario is eligible to become a member upon attending a meeting or annual general meeting of the Association, filling in an application form and paying the membership fee.

(b)       A member shall be deemed a voting member three (3) months after being accepted as a member of the Association.

(c)       The Board of Directors shall have the right to deny or withdraw membership from any individual whose conduct is deemed by the Board to be detrimental to the Association.

ARTICLE 5- BOARD OF DIRECTORS

(a)       The Board of Directors (The Board) shall consist of no more than (13) thirteen members at any one time.

(b)       The Board, consisting of a President, Vice-President, Secretary, Treasurer, and no less than three (3) members at large, shall conduct the business of the Association.

(c)       All Board Members must be members of the Association in good standing, with no individual holding an elected municipal, provincial, or federal position, and will be elected at the Board.

(d)       The President, Vice President, Secretary, and Treasurer shall be elected from among the Board members at the first Board meeting after the AGM.

(e)       The Board may appoint members of the Board between AGMs to fill vacant positions.

(f)       The Board shall be empowered to hire staff.

(g)        Any Board Member that is absent from (3) consecutive Board Meetings or misses 50% of the total yearly meetings will be dismissed from the Board following a Board review.

ARTICLE 6 - DUTIES OF THE DIRECTORS

(a)       Directors shall be responsible for carrying out the objectives of the Association and shall take whatever actions deemed necessary in the discharge of their responsibilities in accordance with this Constitution.

(b)       Directors shall be responsible for the Association's properties, assets, funds, and securities and shall cause all funds received to be deposited in a chartered bank account. Two people, one of who must be a Director of the Association, must sign all withdrawals.

(c)       Directors shall be elected for a (3) three year term, which is renewable at the AGM.at the end of the term.

(d)       Board Members shall set up sub-committees for special interest events, consisting of no more than 3 Association members, with at least (1) one Board Member.

ARTICLE 7 - ANNUAL GENERAL MEETING

(a)       The Annual General Meeting (AGM) of the Association shall be held no later than October 30 each year, time and place to be determined by the Board.

(b)       Notice of the AGM shall be mailed to all members no later than (15) fifteen days prior to the date of the AGM.

(c)       The agenda of the AGM shall contain an audited statement of the Association's funds, the President's report, the election of members to the Board, and the appointment of an independent auditor.

(d)       For the purpose of the AGM, a Quorum shall be 50% of all paid voting members of the Association.

ARTICLE 8 - MEETINGS OF THE BOARD

(a)       The Board shall meet no less than (4) four times a year, which shall start November 1 and end October 31 the next year.

(b)       Meetings shall be conducted in accordance with Roberts's Rule of Order insofar as they apply.

(c)       Quorum shall be a majority of the elected Board members.

ARTICLE 9 - AMENDMENTS TO THE CONSTITUTION

(a)       All amendments to this Constitution may be considered at the AGM or at a Special Meeting called for the purpose of considering amendments.

(b)       The Secretary of the Board must receive proposed amendments no later than thirty (30) days prior to the meeting at which they will be considered.

(c)       An affirmative vote of at least (2/3) two thirds of the voting members of the Association shall be required to pass any amendments to this Constitution, otherwise the Roberts Rules of Order shall apply.

ARTICLE 10 - BYLAWS AND CONSTITUTIONAL AUTHORITY

(a)       The Board may affect bylaws and policies as required in keeping with the principles of this Constitution.

ARTICLE 11 - FINANCIAL AUDIT

(a)       Financial transactions of the Association shall annually be independently audited in time for the AGM.

ARTICLE 12 - DISSOLUTION

(a)       In the event that the Association must be dissolved, all debts and liabilities shall he paid and the remaining assets distributed to charitable institutions of similar associations as decided by the Board.
